Registered Office, place of business and working hours

Section 142 Registered Office

A company must have a registered office in this jurisdiction. All communications and notices to the company may be addressed to its registered office.
 

1.       A document may be served on a company by leaving it at, or posting it to the co.s registered office. Similarly all notices from ASIC are to be addressed to company’s contact address.

2.       A co. must lodge a notice of change in company address with ASIC within 28 days of the change of address.

3.       A notice of change takes effect from the later of:

a.       7^th day after the notice was lodged

b.      A later day specified in the notice as the date from which the change is to take effect
 

Section 143 ASIC may change address of registered office to a director’s address

A company that does not occupy the premises at the address of its registered office must be able to show to ASIC the occupier’s written consent to the company’s use of those premises as its registered office.
 

1.       If ASIC becomes aware of the fact that the occupier of those premises:

a.        Has not consented to use the premises as the co.s address registered office

b.      Has withdrawn the consent

ASIC may give notice to the director that ASIC intends to change the co.s registered address to the director’s address

2.       If ASIC is not notified of any change in address within 28 days of the change, it may change the co.s registered office address to that of the director’s address.

Section 144 Company’s name must be displayed at registered office

1.                         A company’s name must be displayed at every place where the company carries on its business

2.                         Also the name and words ‘Registered Office’ prominently at its registered office.

3.                         An offence regarding the above legal requirements comes under strict liability.

Section 145 Opening hours of business

The registered office of the business must be open to the public:

1.       Each business day from atleast 10am to 12 pm and from atleast 2pm to 4pm

OR         

2.       At least 3 hours chosen by the company between 9 am to 5 pm each business day.

If the company chooses its own opening hours then those must be specified. If the company wants to change the opening hours of its registered office it must lodge with ASIC a notice of change in opening hours before the day on which the change occurs.
 

Section 146A Contact Address

The company may have a contact address (whether or not in this jurisdiction). All forms of communications and notices from ASIC may be addressed to this contact address.
